These Terms of Service ("Terms") govern your use of the Future Proof Products platform ("Platform") operated by Future Proof Products Inc. ("we", "our", "us"), a Canadian corporation.
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
These Terms apply to all users including buyers, vendors, and creators.
Future Proof Products is a marketplace that connects buyers with verified vendors selling physical products. The Platform facilitates transactions but is not itself the seller of any product. Each transaction is between the buyer and the applicable vendor.
We are a marketplace facilitator. We collect and remit sales tax on behalf of vendors in accordance with applicable marketplace facilitator laws in Canada and the United States.
You must be at least 18 years old to create an account. By creating an account you represent that you meet this requirement.
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at [support@futureproofproducts.com] if you suspect unauthorized access.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion with reasonable notice where practical.
Payments are processed by Stripe. By completing a purchase you agree to Stripe's terms of service. We do not store your payment card information.
Product prices are set by vendors. Prices are displayed in Canadian dollars (CAD) unless otherwise noted. Prices do not include applicable taxes or shipping unless explicitly stated.
We collect and remit applicable sales taxes as a marketplace facilitator. Tax amounts are calculated by Stripe Tax based on your location and the product type. Tax is displayed before you complete your purchase.
FutureProof Products charges a 20% marketplace facilitation fee on all paid collaboration agreements completed through the platform.
This fee covers payment processing, escrow, dispute resolution, and platform infrastructure.
FutureProof Products Inc. acts as a marketplace facilitator and not as an agent, manager, or representative of any creator or brand.
FutureProof Products Inc. collects and remits GST/HST as a marketplace facilitator under ETA s.211.12.
Tax invoices will display "GST/HST Registration Pending" until registration is complete.
Shipping costs and methods are set by vendors. Shipping costs are displayed at checkout before payment is collected. For international orders, you are responsible for any import duties, customs fees, and brokerage charges that may be assessed upon delivery. These charges are not included in the displayed shipping cost.
Returns are subject to the applicable vendor's return policy and the following platform rules:
Partial refunds: If a partial refund is issued, the refunded amount is proportional to the portion of the order returned.
Fraud: If a purchase is determined to be fraudulent, the order may be cancelled and refunded at our discretion.

Vendor payouts are processed through Stripe Connect. You must complete Stripe's identity verification and onboarding to receive payouts. Payout timing is subject to Stripe's standard processing periods and the Platform's settlement hold period.
Vendor payouts are subject to a 30-day settlement hold from the date of confirmed payment. This hold period exists to cover the customer return window. Payouts will not be released while:
Any registered user may participate in the referral program by sharing their referral link. You do not need to be a verified creator to earn referral commissions.
When another user clicks your referral link and completes a purchase within 30 days, you earn a commission on the sale. The commission rate is 3% of the order total by default. Some vendor offers may carry a different rate as set by the vendor.
Earnings are subject to the following conditions:
All creator earnings are subject to a 30-day hold from the date of confirmed payment. Earnings become available for withdrawal only after the hold period expires and the order has not been refunded.
If a referred order is partially refunded, your earning is proportionally reduced to reflect the remaining order value.
If a referred order is fully refunded, your earning is revoked and any wallet balance adjustment is reversed.
The following are strictly prohibited and will result in earning revocation and account termination:
Fraud detection is automated. We will not disclose which signals triggered a fraud review. Our determination is final.
Cleared earnings may be withdrawn to your connected Stripe account. Withdrawals are subject to:
We reserve the right to delay or withhold withdrawals pending fraud review.
You are responsible for reporting and paying any applicable income tax on earnings received through the referral program. We may be required to issue tax reporting forms depending on your earnings volume and jurisdiction.
Creators may apply for marketplace status to appear in the creator discovery directory and receive brand collaboration inquiries. Applications are reviewed within 2 business days. Approval requires a completed profile, at least one linked social account, and at least one content category.
Creators accepted into the marketplace agree to:
FutureProof Products reserves the right to suspend or remove any creator from the marketplace for policy violations, inaccurate representation, failure to deliver on collaboration agreements, or any other reason at our discretion.
A collaboration agreement becomes binding on both the vendor and the creator upon the creator's acceptance of an inquiry. Platform payment escrow is activated upon agreement creation.
Platform rate floors set the absolute minimum compensation for collaboration content by creator tier and content type. Rate floors are publicly visible. Creators may set higher minimums. The platform floor cannot be undercut.
A collaboration agreement is binding on both the vendor and the creator upon the creator's acceptance of a collaboration inquiry.
The platform holds vendor payment in escrow during the active collaboration period. Funds are released to the creator after the vendor marks the deliverable complete.
Disputes regarding collaboration agreements are subject to the process defined in docs/CREATOR-COMMERCE-POLICY.md. Contact support@futureproofproducts.com. Platform review within 5 business days. Payment is held during the active dispute.
Completed collaboration agreements are not subject to credit card chargeback proceedings. Disputes must be resolved through the platform dispute process.
FutureProof Products is developing agent-commerce capabilities that will allow AI agents to discover, configure, and purchase products on behalf of human buyers within defined spend controls.
Additional terms governing agent-initiated transactions will be published before this feature launches. No agent purchases are currently supported on the platform.
The Platform, its design, software, and content (excluding vendor product content) are owned by Future Proof Products Inc. and protected by applicable intellectual property laws. You may not copy, modify, or distribute Platform content without our written permission.
Vendors retain ownership of their product content, 3D assets, descriptions, and specifications. By listing on the Platform, vendors grant us a non-exclusive license to display their content on the Platform and in marketing materials.

To the maximum extent permitted by applicable law, Future Proof Products Inc. shall not be liable for:
Our total liability to you for any claim arising from Platform use shall not exceed the amount you paid in the transaction giving rise to the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or where prohibited by law.
You agree to indemnify and hold harmless Future Proof Products Inc. and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from:
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Alberta, Canada.
We may update these Terms as the Platform evolves. Material changes will be communicated to registered users with reasonable notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
